CHAPTER I GENERAL PROVISIONS

§ 1. The name of the Foundation

1.      Ray Wilson Foundation hereinafter referred to as the Foundation, established by William Raymond Wilson, hereinafter referred to as the founder, notarial act Notary Office Jasiewicz Hanna on 19.11.2010, operates on the basis of the Law on Foundations of 6 April 1984 (OJ of 1991 No. 46, item. 203, as amended. amended.) and of this Statute.

2.     The Foundation shall have legal personality.

§ 2. The area of the Foundation's headquarters, seals, awards

1.      The Foundation operates is the area of ​​the Polish Republic.

2.     The Foundation is a city Poznan.

3.     For your own implementation of social and economic objectives the Foundation can operate outside of the Polish Republic.

4.     The Foundation may establish branches, subsidiaries, plants and other internal organizational units and join the company.

5.     The Foundation uses the seal of the credentials of the Foundation and logo.

6.     The Foundation may use the equivalent name in English foundation, ie RAY WILSON FOUNDATION.

§ 3. Duration of the Foundation

CHAPTER II AND FORM OF ACTION FOUNDATION

§ 5. The objectives and actions of the Foundation

A.    The purpose of the Foundation is to promote, initiate and implement activities to promote social development and the combating of social exclusion:

A.    Equal opportunities in access to education, employment and active participation in social life and development of core competencies that underpin a society based on knowledge and human resources activities;

B.     Promoting local development, strengthening the third sector and the development and employment in the social economy;

C.     Social and professional reintegration of the unemployed, the homeless, addicts, people with disabilities, refugees and other subordinate social exclusion or at risk of exclusion and promote actions to combat social pathologies;

D.    Activity serving behavior and the subsequent transfer of generations of cultural heritage, cultivate, develop and promote culture preservation achievements repertoire of vocal and instrumental music;

E.     Taking action to stimulate social, local democracy and European integration.

B.    The Foundation pursues its goals in accordance with applicable law, in particular by:

A.    Conducting education programs and participation for persons subject to social exclusion;

B.     The implementation of projects related to the social economy, including persons who are preparing social exclusion to various forms of entrepreneurship;

C.     Carrying out activities in the field of substance abuse prevention and promotion of healthy lifestyles and support the organization of therapeutic and social reintegration, rehabilitation and first aid social, and through room and board, including the promotion of methods of work outside the premises (street) to individuals and groups at risk of exclusion social;

D.    Organizing and conducting continuing education centers, allowing adults to develop interests and talents, acquisition and replenishment of general knowledge, skills and professional qualifications;

E.     Conduct information and education centers, a broad-based advisory services, conferences, training, meetings, establishment of banks about the social and economic activities for social and educational programs, social economy and job placement;

F.     Aligning development opportunities through the preservation and protection of cultural heritage, scholarship funds and assistance funds, to support the development of the social economy;

G.    Preparing the public for the operation of the integrated European communities and to build a broad social and economic partnership, including the promotion and organization of volunteering;

H.   Organizing and conducting educational, cultural, tourist and working for the ecology and environment, in which the supporting activities of childcare centers and other facilities for children and youth, as well as the organization of psychological education for children, youth and adults.

I.      Providing individuals and businesses to the principles and possibilities of acquisition and use of financial resources from the EU accession programs and national assistance programs (structural funds, subsidies, grants, scholarships, loans, credits, etc.);

J.     Obtaining grants, grants and donations, including by organizing and conducting public collections and other parties in accordance with applicable regulations.

C.    In addition to the self-initiated projects, the Foundation works with state authorities and local government, with other institutions, organizations and individuals to achieve common goals statute. This cooperation can be of organizational support, partial or total funding of projects or assistance in obtaining the necessary funds from other sources.
 

Paid and unpaid BUSINESS FOUNDATION

A.    The Foundation operates free of charge in the public interest:

                                     i.          Conducting education programs and participation for persons subject to social exclusion;

                                   ii.          The implementation of projects related to the social economy, including persons who are preparing social exclusion to various forms of entrepreneurship;

                                  iii.          Carrying out activities in the field of substance abuse prevention and promotion of healthy lifestyles and support the organization of therapeutic and social reintegration, rehabilitation and first aid social, and through room and board, including the promotion of methods of work outside the premises (street) to individuals and groups at risk of exclusion social;

B.     The Foundation operates a paid public benefit in terms of:

CHAPTER III PROPERTY FOUNDATION

§ 6. of the foundation capital and other assets of the Foundation

1.      Assets of the Foundation is the founding capital of 1000 zł, and other property received and acquired a fee or free of charge by the Foundation during its operation.

2.     The Foundation is responsible for its obligations with all its assets.

 

§ 7. of the Foundation's income

The Foundation's income derived in particular from:

1.      donations, legacies;

2.     corporate subsidies and public institutions;

3.     income resulting from the implementation of projects financed from external sources;

4.     income from immovable property, movable property and rights;

5.     income from collections, auctions and public events organized by the Foundation or on its behalf.

 

§ 8. Ways to dispose of the assets of the Foundation

1.      Income from the Foundation's assets may be used to achieve the objectives of the Foundation, to cover the work of the Foundation.

2.     The Foundation can not grant loans or secure their property obligations to the members of its organs, its employees and persons with whom they are married or in a relationship of kinship or affinity in a straight line, consanguinity or affinity in the collateral line to the second degree, or are associated adoption, custody or guardianship, referred to as "persons".

3.     We can not transfer their property to the members of its organs, its employees ora their relatives in a manner other than in relation to third parties, in particular if the transfer is free of charge or on preferential terms.

4.     The Foundation's assets can not be used for the benefit of the members of its organs, its employees and their relatives in a manner other than in relation to third parties.

5.     We can not make special rules for the purchase of the goods or services from entities in which members of its bodies, employees of the Foundation or their relatives.

6.     The Foundation may establish funds, including intentional, according to the will of the donors signed their name or the name.

CHAPTER IV THE FOUNDATION'S BODIES

§ 10. Bodies of the Foundation

The bodies of the Foundation are:

1.      Board of Trustees;

2.     Board.

§ 11. The Board of Trustees

1.      The Foundation Board is a body with powers of initiative, yet consultative, controlling and supervising the activities of the Foundation.

2.     Members of the Board of Trustees can not be combined membership in the performance of duties on the Board of the Foundation, or to remain members of the Board of the Foundation for kinship relations, subordination or for employment can not be convicted of an offense of willful misconduct.

3.     Members of the Foundation acts as a free or a fee, they are entitled to the reimbursement of travel costs associated with participation in the work of the Council.

§ 12. The term of office and the Board of Trustees

2.     The Council shall be appointed for five-year terms.

§ 13. Functions and powers of the Board of Trustees

1.      The Board of the Foundation include:

A.    appointment and dismissal of the Chairman of the Board;

B.     making decisions about the number of members of the Board;

C.     appointment and dismissal of the remaining members of the Board at the request of the President of the Board;

D.    decisions about financial matters in relations between the Foundation and the President and members of the Board, including those resulting from the employment relationship;

E.     initiating and supervising the direction of the Foundation;

F.     joining with proposals for the Foundation;

G.    adoption of annual and long-term programs of the Foundation;

H.   opinions on matters submitted to the Council by the Board of the Foundation;

I.      decision to carry out checks on the activities of the Foundation, including audit the accounts, the validity and usefulness of the expenditure, the delegate members of the Board of Trustees or by authorized persons;

J.     consider and approve the reports of the Board of the Foundation and the Foundation Board of discharge;

K.    adopting regulations of the functioning of the Council and of the Board;

L.     taking on its own initiative or at the request of the Board resolutions on amendments to the statute of the Foundation and to connect with another foundation;

M.   passing resolutions on liquidation of the Foundation, in the event the conditions set out in § 21. First

2.     The Foundation Board is working on meetings convened by the Chairman of the Board of Trustees:

A.    where appropriate, but not less than once a year;

B.     at the request of the President of the Board.

3.     The meetings of the Board of Trustees may attend the members of the Board.

4.     To attend meetings of the Board of Trustees may also be invited individuals and representatives of organizations whose activities are consistent with the objectives of the Foundation.

5.     Resolutions of the Board of Trustees shall be taken by a simple majority of votes, unless the statute provides otherwise, the validity of the resolution required the presence of at least half of its members, including the Chairman or Vice-Chairman. In case of a tie, the vote of the Chairman or in his absence the Vice-President's voice.

6.     Each member of the Board of Trustees shall have one vote. persons referred to in paragraph 3 and 4 do not participate in the vote of the Council.

§ 14. The composition, method of appointment and term of office of the Board

1.      The Foundation Board is composed of members of the Board in a number from 1 to 2 in the Chairman of the Board.

2.     Chairman of the Board is appointed by the Foundation.

3.     Other members of the Board are appointed by the Foundation, among the individuals proposed by the President of the Foundation.

4.     The Foundation Board is appointed for a term of four years. The term of office begins on the date of adoption of the resolution to appoint members of the Board and shall expire on the date of the discharge by the Council of the Foundation Board of the Foundation for the year preceding the end of the term.

§ 15. Powers of the Board

1.      Board directs the activities of the Foundation and represents it externally.

A.    development of annual and long-term programs of the Foundation;

B.     management of the assets of the Foundation;

C.     receiving grants, donations, legacies and bequests;

D.    determining the number of employees and amount of the remuneration for the staff of the Foundation;

E.     reports on the activities of the Foundation and present them for approval to the Council of the Foundation;

F.     creation and removal of branches, subsidiaries, plants and other internal organizational units of the Foundation and organizational bylaws thereto;

G.    appointment and dismissal of persons to carry out self-management positions and organizational units of the Foundation;

H.   arranging, conducting and supervising the activities of the Foundation;

I.      adoption of regulations required by applicable law and this statute;

J.     applying to the Board of Trustees to adopt a resolution on amendments to the Statute, call, or liquidation of the Foundation.

3.     Board takes decisions at its meetings in the form of resolutions. The validity of the resolution requires the presence of at least two members of the Board, including the President, and the decisions taken by a simple majority vote, and if equal to the amount of the vote of the President.

4.     Meetings of the Board shall be held as necessary, but not less frequently than once a month.

5.     Management is working on the basis of the regulations adopted by the Board of the Foundation.

6.     The Board may appoint, as the body of a opiniująco - advisory, Programme Board consisting of people gathered around the idea of ​​the Foundation.

7.     Program Board members may be persons appointed by the Board at the request of any member on the idea of ​​the Foundation.

§ 16. Submission of declarations of will on behalf of the Foundation

CHAPTER VI THE STATUTE OF CHANGE FOUNDATION

§ 17. Amendment of the Statutes of the Foundation

CHAPTER VII CONNECTION TO OTHER FOUNDATION

§ 18. The combination of another Foundation

1.      Foundation for the effective realization of its statutory objectives may merge with another foundation with similar objectives to the conditions laid down by the parties concerned.

2.     The connection can not be made if the outcome could alter the purpose of the Foundation.

3.     The decision to merge with another foundation made by the Council of the Foundation on its own initiative or at the request of the Board, by resolution adopted unanimously by all members of the Council.

 

CHAPTER VIII LIQUIDATION OF THE FOUNDATION

§ 19. Liquidation of the Foundation

1.      The Foundation is liquidated if the purpose for which it was established, or to exhaustion of funds and assets.

2.     The resolution of the liquidation of the Foundation Board of Trustees take an absolute majority.

§ 20. Method of liquidation of the Foundation

1.      Liquidator appointed by the Board of the Foundation of the Foundation.

2.     The duties of the liquidator, in particular:

A.    submitting an application to the appropriate district court to enter the opening of liquidation;
